1. Agreement to Terms

These Terms & Conditions ("Terms") govern your access to and use of EasyScribe Inc.'s website, applications, and related services (collectively, the "Services").

By creating an account, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes both you and that organization.

2. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you meet this requirement.

3. Services Overview

EasyScribe provides AI-powered tools that may include:

• Audio and video transcription
• Translation
• Structured summaries and AI notes
• Subtitle generation and text export
• Related editing and analysis features

We may update, improve, suspend, or discontinue features from time to time.

4. Accounts and Security

You are responsible for:

• Providing accurate account information
• Maintaining the confidentiality of your credentials
• All activities that occur under your account

You must promptly notify us if you suspect unauthorized account access.

5. Free Credits, Paid Plans, and Automatic Renewal

5.1 Free Credits

Logged-in users may receive free usage credits. Credits:

• Have no cash value
• Are non-transferable
• Are non-refundable
• May expire or reset under plan rules shown in-product

Core functionality may be available under free credit usage, subject to limits.

5.2 Paid Plans

If you purchase a subscription, you agree to pay applicable fees, taxes, and charges shown at checkout.

5.3 Automatic Renewal

Subscriptions renew automatically at the end of each billing cycle unless canceled before renewal. By subscribing, you authorize recurring charges to your selected payment method.

5.4 Cancellation

You may cancel at any time. Cancellation takes effect at the end of your current paid billing period unless otherwise stated.

6. Refund Policy

We aim to keep refunds fair and simple.

6.1 General Rule

Refund requests may be considered if submitted within 7 calendar days of the initial subscription charge or renewal charge.

6.2 Eligibility Conditions

To be eligible, you must generally:

• Submit the request within the 7-day window
• Not materially use paid credits/features during that period
• Not violate these Terms

6.3 Non-Refundable Situations

Refunds are generally not available when:

• The request is outside the eligibility window
• Usage has already consumed substantial paid value
• Abuse, fraud, or policy violations are detected

6.4 How to Request

Send refund requests to support@easyscribe.ai with your account email and billing details.

7. User Content and Data Rights

7.1 Ownership

As between you and EasyScribe Inc., you retain ownership of content you upload, submit, or generate through your use of the Services ("User Content"), to the extent permitted by law.

7.2 License to Operate the Services

You grant EasyScribe Inc. a non-exclusive, worldwide, royalty-free license to host, process, reproduce, transform, and transmit User Content only as needed to:

• Provide and operate the Services
• Maintain security, reliability, and technical support
• Comply with legal obligations
• Improve service performance as described in our Privacy Policy

7.3 Your Responsibility

You are responsible for User Content and represent that you have all rights, permissions, and legal bases needed to upload and process it.

7.4 Recording and Consent

You are solely responsible for complying with recording, monitoring, consent, and privacy laws applicable to your jurisdiction and participants.

8. Acceptable Use

You agree not to:

• Use the Services for illegal, harmful, or fraudulent purposes
• Infringe intellectual property, privacy, or other legal rights
• Upload malware or interfere with system integrity
• Reverse engineer, scrape, or attempt unauthorized access
• Misuse the Services in ways that degrade performance or harm other users

We may investigate violations and take enforcement actions, including suspension or termination.

9. AI Output Disclaimer

AI-generated outputs (including transcripts, translations, summaries, notes, and analysis) may contain errors or omissions.

You are responsible for reviewing outputs before relying on them for legal, financial, medical, educational, business, or compliance decisions.

10. Intellectual Property

The Services, excluding User Content, are owned by EasyScribe Inc. or its licensors and are protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, revocable, non-transferable license to use the Services.

11. Third-Party Services

The Services may integrate with or link to third-party services. We are not responsible for third-party content, products, policies, or practices.

12. Suspension and Termination

We may suspend or terminate access to all or part of the Services, with or without notice, if:

• You violate these Terms
• Required payments are overdue
• We reasonably believe use poses legal, security, or abuse risk
• We are required by law or technical necessity

You may stop using the Services at any time.

Sections that by nature should survive termination (including payment obligations, IP, disclaimers, limitations, indemnity, and dispute terms) will survive.

13. Disclaimers

To the fullest extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

14. Limitation of Liability

To the fullest extent permitted by law:

• EasyScribe Inc. is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, data, goodwill, or business opportunities.
• EasyScribe Inc.'s total aggregate liability for claims arising from or related to the Services will not exceed the greater of:
  1. Amounts you paid to EasyScribe Inc. in the 12 months before the claim arose, or
  2. USD $100.

Some jurisdictions do not allow certain liability limitations, so parts of this section may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless EasyScribe Inc., its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Services
• Your User Content
• Your violation of these Terms or applicable law
• Your infringement of third-party rights

16. Dispute Resolution; Binding Arbitration; Class Action Waiver

16.1 Informal Resolution First

Before filing formal proceedings, both parties agree to try resolving disputes informally by contacting the other party in writing.

16.2 Binding Arbitration

Except for claims eligible for small claims court or requests for injunctive relief related to intellectual property, disputes arising out of or relating to these Terms or Services will be resolved by final and binding individual arbitration.

16.3 No Class Actions

You and EasyScribe Inc. agree to bring claims only in an individual capacity, not as a plaintiff or class member in any class, collective, or representative proceeding.

16.4 Arbitration Rules

Arbitration will be administered by the American Arbitration Association (AAA) under applicable consumer arbitration rules, unless both parties agree otherwise.

16.5 Opt-Out Right

You may opt out of arbitration within 30 days of first accepting these Terms by emailingsupport@easyscribe.aiwith the subject line: "Arbitration Opt-Out" and your account email.

If you opt out, disputes will be resolved in court under Section 17.

17. Governing Law and Venue

These Terms are governed by the laws of the United States and, to the extent state law applies, the laws of the State of California, without regard to conflict-of-law principles.

If a dispute is not subject to arbitration, you and EasyScribe Inc. agree to exclusive jurisdiction and venue in state or federal courts located in California.

18. Changes to These Terms

We may update these Terms from time to time. Updated Terms become effective when posted, unless otherwise stated.

If changes are material, we may provide additional notice (for example, in-product notice or email). Continued use after effective updates means you accept the revised Terms.

19. Electronic Communications

You agree to receive communications from us electronically, including notices, disclosures, and updates related to your account and these Terms.
